Binding Legal Agreement

- Review all work product carefully before approval or filing
- Honor payment obligations as agreed
Prohibited Activities

Documentation Requirements

Indemnification
You agree to indemnify, defend, and hold harmless Summafield, its officers, employees, contractors, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

Limitation of Liability
To the maximum extent permitted by law, Summafield's total liability for any claims arising out of or related to our services shall not exceed the fees paid by you for the specific services that gave rise to the claim, calculated over the twelve months preceding the claim.
We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- Lost profits or business opportunities
- Loss of data or information
- Cost of substitute services
- Penalties or interest assessed by tax authorities
- Emotional distress or reputational harm
Consequential Damages
Under no circumstances shall Summafield be liable for consequential damages resulting from our services or failure to provide services. This includes, without limitation, damages resulting from tax authority audits, assessments, or enforcement actions, even if such damages were foreseeable or we were advised of their possibility.
Force Majeure
We shall not be liable for any delay or failure to perform our obligations due to circumstances beyond our reasonable control, including but not limited to acts of nature, government actions, labor disputes, power failures, internet or telecommunications failures, or other force majeure events.
Nature of Professional Relationship
Engagement Scope
Our professional relationship is limited to the specific services outlined in our engagement letter. We are not responsible for tax matters, returns, or obligations outside the agreed scope of engagement unless explicitly agreed in writing.
Professional Judgment
Our work is based on professional judgment applied to the facts and circumstances you present. Tax law often involves areas of uncertainty where reasonable professionals may reach different conclusions. Our recommendations represent our professional opinion but do not guarantee acceptance by tax authorities.
Decision Authority
You retain ultimate decision-making authority regarding your tax matters. We provide advice and recommendations, but you are responsible for making final decisions about filing positions, elections, and strategies. Your approval is required before filing any return or making any submission to tax authorities.
Third-Party Reliance
Our work product is prepared for your exclusive use and may not be relied upon by third parties without our express written consent. We assume no responsibility to any third party who may access our work product, whether with or without permission.
Legal Provisions and Dispute Resolution
Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. For matters involving specific state or international jurisdictions, applicable local laws will apply to the extent required.
Jurisdiction and Venue
